Welcome to Hyperplace ("we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and any services we provide related to energy optimization, smart-meter data analytics, tariff switching, and connected home-energy solutions (collectively, the "Services").

By accessing or using Hyperplace, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Scope of Service

Hyperplace operates an energy-optimization platform that enables homeowners and small businesses to:

• analyze energy usage through smart-meter or consumption data;
• compare or switch energy tariffs;
• access recommendations for efficiency improvements; and
• connect with certified partner providers for implementation.

We do not guarantee specific savings or outcomes. All estimates and comparisons are informational and based on available data at the time of calculation.

3. Account Registration

You must provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We may suspend or terminate access if we detect fraud, misuse, or violation of these Terms.

4. User Responsibilities

You agree to:

• use the Services only for lawful personal or business purposes,
• provide accurate data about your energy usage and property when requested,
• avoid copying or reverse-engineering our platform, and
• comply with all applicable energy, consumer, and data-protection laws.

5. Partnerships and Third-Party Providers

Hyperplace collaborates with certified energy providers, smart-meter vendors, installers, and other market partners. If you choose to contract directly with a partner through our platform, your relationship with that partner is governed by their own terms. We are not a party to those agreements and assume no responsibility for third-party products or services.

6. Pricing and Payments

All fees are displayed before purchase and shown in USD unless stated otherwise. We may modify pricing or features with reasonable notice to active customers.

7. Intellectual Property

All content and software are owned by Hyperplace or its licensors. You receive a limited, non-exclusive, revocable license to use the platform for its intended purpose.

8. Data Usage and Privacy

Your use of the Services is subject to our Privacy Policy. By using Hyperplace, you consent to the collection and processing of your personal and energy-consumption data as described therein.

9. Disclaimers

The Services are provided "as is" and "as available." We make no warranties regarding accuracy or fitness for a particular purpose. Energy-saving calculations are estimates only and depend on third-party data.

10. Limitation of Liability

To the maximum extent permitted by law, Hyperplace LLC is not liable for indirect or consequential damages. Our total liability shall not exceed USD 100 or the amount you paid in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold harmless Hyperplace LLC and its employees and partners from claims arising from your misuse of the Services or breach of these Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved by binding arbitration in Wilmington, Delaware.

EU/EEA Residents: This does not limit your rights under mandatory EU consumer law.

13. International Users & GDPR

If you are located in the EU, EEA, or UK, your data is processed in accordance with the GDPR. You have the rights outlined in our Privacy Policy.

14. Termination

We may suspend or terminate your access for violation of these Terms. Sections 7–13 survive termination.

15. Changes to Terms

We may update these Terms periodically. Material changes will be posted with a revised Effective Date.

Continued use after changes means acceptance.
